Official Rules

  1. ENTRANTS MUST BE: A) AT LEAST 18 YEARS OF AGE AT TIME OF ENTRY AND B) LEGALLY AUTHORIZED TO WORK IN THE UNITED STATES. SEE SECTION 8 BELOW FOR FULL ELIGIBLITY REQUIREMENTS.

  2. Promotion Period: Comedy Central's Test Pilots commences at 12:00 p.m. (ET) on May 22, 2006 and ends at 11:59 a.m. (ET) on August 24, 2006 (the "Contest"). All Mail-In Video Submissions (as defined in Paragraph 4 below) must be postmarked by 11:59 p.m. on August 24, 2006 and received by 5:00 p.m. (ET) on August 27, 2006. All web-entries must be received at or before exactly 11:59:59 a.m. (ET) on August 24, 2006. Proof that you uploaded or submitted a video to enter does not constitute proof or evidence that it was actually received within the Promotion Period. All web-entry Applications must be postmarked by 11:59 p.m. on August 24, 2006 and received by 5:00 p.m. (ET) on August 27, 2006.

  3. To Enter: The Contest will be posted on www.comedycentral.com (the "Website"), a website owned and controlled by Comedy Partners ("CP"), starting at or around 12:00 p.m. (ET) on May 22, 2006. Log on and follow the entry instructions. There are two ways to enter:

    a) On-line Entry.
    Entrants wishing to submit material electronically will be directed to ifilm.com. Click on the "Upload Your Video" button and follow the instructions to upload your Video Submission (as defined in Paragraph 4 below). At the time of upload, you will be required to opt-in to enter the Contest, sign-up to become a registered user of iflim.com, and complete the Contest entry form. All web-entries must be accompanied by a completed Application. Follow the instructions in Paragraph 4 below for submitting an Application with your Video Submission.

    b) Mail-in Entry.
    Entrants wishing to submit material via postal delivery must first complete and submit the Contest entry form on the Website. Upon completing all required fields on the Contest entry form, material may be submitted via postal delivery in accordance with the Mail-In Video Submission Requirements in Paragraph 4 below.

    Entries submitted in accordance with these Official Rules shall be collectively referred to hereinafter as the "Eligible Entries". All entries become the property of CP.

    Any entry, including the Video Submission, which does not comply or, in the sole determination of CP, is deemed offensive or inappropriate by CP may be disqualified. No responsibility is assumed for incorrect, unreadable, unrecognizable or inaccurate entry information whether caused by any entrant or any equipment or programming (including the Internet) or by any human error which may occur in the processing of entries to this Contest. No responsibility is assumed for any problems or technical malfunction of any telephone network or lines, computer on-line systems, networks, servers or providers, computer equipment, software, failure of email or media on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating in or downloading materials in connection with this Contest. If, for any reason, the Contest is not capable of running as planned or if CP believes or has any reason to believe, the Contest is or has been tampered with or is not operating as contemplated, including, without limitation, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, insufficient entries, or any other causes beyond the control of CP or ifilm.com which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, CP reserves the right in its sole and unequivocal discretion to cancel, terminate, modify or suspend the Contest and select the staff-picks, Semi-Finalists, and Grand Prize Winner from Eligible Entries received unaffected by the problem. Entries that have been tampered with or altered are void and subject to disqualification.

  4. Submission Requirements:

    a) General Requirements. Eligible Entries shall consist of the Contest entry form completely and accurately completed by the entrant, together with an original Video Submission that complies with these Official Rules. For purposes of this Contest, a "Video Submission" consists of and means an original one (1) to five (5) minute pilot, in audio-visual form, made by the entrant and of the entrant's original ideas, language, content, images, text, graphics, animation, music and other materials. The Video Submission must be the sole and exclusive property of the entrant over and to which the entrant has all exclusive rights. CP, in its sole discretion, has the right to disqualify any entry in which Video Submissions contain images, music or other elements or content not original to entrant.

    Video Submissions will not be accepted if:

    • There is any content which endorses or condones illegal drug use or alcohol abuse;
    • There is any nudity, profanity or violence;
    • There are any commercial endorsements, except as expressly set forth in these Official Rules;
    • There is any derogatory characterization of any ethnic, racial, sexual or religious groups;
    • There is any display of any physical injury, death or property damage or any conduct or activity that could cause physical injury or property damage or that is reasonably likely to do so.
    • There is a violation of the Website's or ifilm.com's Terms of Use;
    • There is any use (as well as display of any use) of any equipment, facilities or property in a manner not recommended or permitted by the owner or manufacturer; or
    • There is any animation, graphics, special effects or other audio, visual images or content enhancing or illusory mechanisms that would display, encourage or imply that any activity or conduct that is otherwise unacceptable in reality, has been or could have been involved.
    • There is any unauthorized use of trademarks or copyrighted property from any other film or composition.
    • There is any other conduct, language or other context deemed inappropriate by CP.

    Any Video Submission that does not conform to these guidelines may be rejected. CP reserves the right to reject any Video Submission that it deems, in its sole discretion, to violate any of the policies of MTV Network's "Standards and Practices Guidelines." CP may modify or edit any Video Submission or request submitters to do so, so that the Video Submission meets such guidelines.

    You may enter as many times as you wish (either on-line or by mail-in) but each Video Submission must be mailed or submitted separately. Derivatives or different versions of the same Video Submission are not "different" Video Submissions for these purposes and the decisions of CP shall be final in making any such determination. Video Submissions that are not the original work of the entrant, illegible or incomplete will not be accepted.

    b) Application Requirements.

    All entrants (whether submitting material on-line or via mail) are responsible for downloading, printing and executing (i) CP's Materials Release Form, (ii) the Guest/Performer Release (including obtaining the signature of any person appearing or performing in his/her Video Submission) and (iii) the Location Agreement (the foregoing, collectively, the "Application"). Entrants should make blank copies of the Guest/Performer Release if more than one individual's signature is required (e.g. each individual providing a voiceover will be required to sign a Guest/Performer Release). PLEASE NOTE: if a minor performs in your Video Submission the parent or legal guardian of such minor must also sign the Guest/Performer Release. Failure to obtain any necessary signatures on any of the Application documents may result in disqualification of your Video Submission.

    Entry will be deemed incomplete unless entrant downloads, prints, completes, and signs (and obtains the signatures of all applicable individuals on) the CP Materials Release Form, the Guest/Performer Release, and the Location Agreement, and submits such completed Application by mail to:

    Applications must be mailed in accordance with the deadlines set forth in Paragraph 2 above.

    c) On-Line Video Submission Requirements.
    Entries shall consist of the completed Application and a Video Submission in a digital format that meets ifilm.com's requirements for upload (as specified on ifilm.com).

    d) Mail-In Video Submission Requirements.
    Entries shall consist of the completed Application, and a Video Submission submitted on mini DV, DVCAM, Beta SP, VHS, DVD, or CD. Entrants may be asked, at a later date, to submit copies of their Video Submission in one or more additional formats (DV, MiniDV, Digi Beta) during the judging process.

    Each Mail-In Video Submission ("MIVS") must be clearly labeled with entrant's full legal name and phone number where he or she can be reached during regular business hours (9:30 a.m. - 5:30 p.m. ET).

    Round One (July 28, 2006 – August 3, 2006): From the Eligible Entries, the Comedy Central Judges will post three (3) "staff picks" on the Website. Website users will rate the staff picks and the highest rated Video Submission for Round One will automatically become the Round One Semi-Finalist.

    Each MIVS becomes the property of CP and will not be returned. Your MIVS must be postmarked and received in accordance with the dates and times set forth in Paragraph 2 above. An incomplete and/or late MIVS may be disqualified. If you would like confirmation that your MIVS has been received, please include a self-addressed stamped envelope with a 3"x5" card with your MIVS stating, "Your Submission has been received for Comedy Central's Test Pilots Contest." Otherwise, entrants may only be contacted if selected as a staff-pick or Semi-Finalist, as described in Paragraph 5 below.

    DO NOT SEND THE MASTER COPY OF YOUR MIVS FOR INITIAL ENTRY. PLEASE RETAIN A BACKUP COPY.

  5. Judging Panel, Voting and Winner Selection: CP shall designate a panel of judges comprised of Comedy Central executives and/or a celebrity guest judge (the "Comedy Central Judges") who will evaluate and judge all Eligible Entries based on the judging criteria set forth in this Paragraph 5 below. In addition, Eligible Entries will be judged via an online voting process as follows:

    Round Two (August 4-10, 2006): Among the Eligible Entries, the Comedy Central Judges will post three (3) more "staff picks" on the Website. Website users will rate the staff picks and the highest rated Video Submission for Round Two will automatically become the Round Two Semi-Finalist.

    Round Three (August 11-17, 2006): Among the Eligible Entries, the Comedy Central Judges will post three (3) more "staff picks" on the Website. Website users will rate the staff picks and the highest rated Video Submission for Round Three will automatically become the Round Three Semi-Finalist.

    Round Four (August 18-24, 2006): Among the Eligible Entries, the Comedy Central Judges will post three (3) more "staff picks" on the Website. Website Users will rate the staff picks and the highest rated Video Submission for Round Four will automatically become the Round Four Semi-Finalist.

    Semi-Final Round (August 25-31, 2006): The four Semi-Finalists from Rounds One, Two, Three, and Four will be posted on the Website and Website users will be asked to pick one out of the four Semi-Finalists to become the www.comedycentral.com "User's Choice Finalist".

    Final Round: The Comedy Central Judges will select three (3) Finalists from among all Eligible Entries to compete in the Final Round against the User's Choice Finalist. The Comedy Central Judges will select the Grand Prize Winner according to the following judging criteria:

    Humor quotient- Is it funny
    Brand sensibility- Does this belong on Comedy Central?
    Originality
    Budget Parameters
    Standards and Practices- Does it fall within internet programming guidelines?

    CP shall make all final determinations, during any round of judging, in the event of a tie or dispute or for any other reason that CP deems it necessary. The Grand Prize Winner shall be selected on or around September 8, 2006. CP reserves the right to determine the dates, times, and frequency of any online exhibition of any Video Submission.

  6. Semi-Finalist/ Finalist and Winner Notification: The Semi-Finalists, Finalists and Grand Prize Winner will each be notified by CP by phone and/or email. CP will make up to three attempts over a forty-eight (48) hour period. If any potential Semi-Finalist, Finalist or Grand Prize Winner is unreachable during the 48 hour period in which he or she is contacted (no messages will be left on answering machines) or does not comply with these Official Rules, an alternate Semi-Finalist, Finalist or Grand Prize Winner, as applicable, may be selected from all remaining Eligible Entries. CP in its sole discretion, expressly reserves the right to delay the announcement of any Semi-Finalist, Finalist or the Grand Prize Winner.

  7. Prizing:

    Grand Prize - One (1) Grand Prize Winner will receive the following:

    • His/her Video Submission designated as the Grand Prize Winner of Comedy Central's Test Pilots;
    • His/her Video Submission exhibited on Comedy Central's broadband service, Motherload (the dates and frequency to be determined in CP's sole discretion), with the option for CP to enter into a development agreement with the Grand Prize Winner to create a 6-episode series to be streamed on Motherload (the terms of which shall be negotiated in good faith between CP and Grand Prize Winner, as more fully set forth in Paragraph 9 below).
  8. Eligibility: At time of entry and during the course of the Contest, entrants (i.e. the producer or director of the Video Submission):

    (a) must be 18 years of age at time of entry, and

    (b) must be legally authorized to work in the United States.

    NOTE: ONLY ONE GRAND PRIZE WILL BE AWARDED. IF A WINNING ENTRY WAS CREATED BY A COLLECTIVE GROUP, ONLY THE PRODUCER OR DIRECTOR SUBMITTING SUCH WINNING ENTRY WILL BE ELIGIBLE TO RECEIVE THE PRIZE. VIDEO SUBMISSIONS SUBMITTED BY MULTIPLE ENTRANTS MAY BE DISQUALIFIED IN CP'S SOLE DISCRETION. The Grand Prize Winner, Semi-Finalists and Finalists must prove eligibility. At time of entry and during the course of the Contest, entrants must be amateur artists (i.e., cannot have a production, development or distribution deal) and additionally, must not be under any third party agreement with any production company or any other third party which might interfere with such entrant's participation in the Contest and the prizes awarded including, but not limited to, the on-air or online broadcast of such entrant's Video Submission. CP assumes no responsibility for any internal disputes among members of collaborative groups of artists who are entered into the Contest with regard to their Video Submission, or any internal disputes among the various individuals and/or entities that have collective interest in any Video Submission submitted in connection with this Contest. Such disputes will not be resolved by CP. In the event that any such dispute or personnel change interferes with the operation of the Contest, entrants and their collaborators involved in the dispute may be disqualified, in CP's sole discretion. VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW. Employees of Comedy Central, Viacom International Inc., CBS, MTV Networks and each of their respective affiliated companies, sponsors, subsidiaries, advertising agencies (and the immediate families of each) or any person who has won a Comedy Central national Contest or Sweepstakes in the 2006 calendar year are not eligible to participate. By participating in this Contest, entrants agree to be bound by these Official Rules and by the decisions of CP, which are final in all matters relating to this Contest and acknowledge compliance with these Official Rules.

  9. Semi-Finalists, Finalists and Grand Prize Winner must sign (a) an affidavit of eligibility and liability to release MTV Networks, Viacom International Inc., CBS, any and all sponsors, and each of their respective corporate parents, subsidiaries, affiliated entities, advertising agencies, and any other participating sponsors, and their respective employees, from any and all liability, claims, demands and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use or acceptance of any of promotional opportunities and/or prizes received; (b) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation. Entry into this Contest constitutes all Semi-Finalist's, Finalist's and Grand Prize Winner's agreement to sign such releases. Prior to the fulfillment of the Grand Prize, Grand Prize Winner may be required to provide CP with identification and also sign additional release(s) and/or agreement(s) necessary to fulfill the Grand Prize including without limitation, agreement(s) and/or release(s) relating to the use of his/her name, voice and likeness in any media, including in connection with any ancillary use. Semi-Finalists, Finalists and Grand Prize Winner must also complete all additional legal documents required by CP and return them to CP within forty-eight (48) hours after receipt of such documents. Noncompliance may result in disqualification. Semi-Finalists and Finalists must execute all of the foregoing documentation to be eligible to compete for the Grand Prize. Noncompliance by any participant with any requirement in connection with this Contest will result in disqualification. Grand Prize Winner additionally may be presented with a contract in a form and containing terms and conditions which are consistent with Comedy Central's standard broadband development agreement where the development commitment is for a single project (the "Development Agreement"). The Development Agreement may involve long term exclusive rights to the Grand Prize Winner's services, and accordingly, the Grand Prize winner is advised to have experienced independent legal counsel review the Development Agreement before executing the same. Comedy Partners agrees to negotiate the terms and conditions of the Development Agreement in good faith within the usual and customary parameters of agreements of its kind; provided, if Comedy Partners and Grand Prize Winner fail to agree on the material terms of the Development Agreement such that Grand Prize Winner fails to execute the Development Agreement within thirty (30) days following the date the Grand Prize winner is selected, CP shall have the option to disqualify the Grand Prize Winner and the Grand Prize may be forfeited.

    ANY VIOLATION OF THESE OFFICIAL RULES BY ANY PARTICIPANT (AT CP'S SOLE DISCRETION) MAY RESULT IN SUCH PARTICIPANT'S DISQUALIFICATION AS A POTENTIAL SEMI-FINALIST, FINALIST AND/OR GRAND PRIZE WINNER OF THE CONTEST AND ALL PRIVILEGES WILL BE IMMEDIATELY TERMINATED. Upon receipt of any part of the Grand Prize, Grand Prize Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations.

  10. (a) Past experience has confirmed that contests and other competitions generate substantially similar submissions or entries which closely resemble concepts and ideas that have been independently developed by CP before or after the Contest. Accordingly, entrants may subsequently see a CP presentation which seemingly incorporates an idea or concept or includes materials similar to that contained in their Video Submissions. Any similarity is purely coincidental and unavoidable in light of the volume of ideas which CP routinely considers in the course of its program development. Because of this possibility, entrants hereby agree to submit their Video Submissions under the following terms and conditions: (i) that CP may use any ideas, concepts, material, or expression in whole or in part, contained in a Video Submission; (ii) that all materials submitted become the property of CP and will not be returned; (iii) entrants have obtained all rights, permissions and licenses necessary to use the Video Submissions for any purpose; (iv) that no Video Submission, or any part thereof, infringes any trademark or copyright or otherwise violates anyone's right of privacy or publicity; (v) by submitting a Video Submission, entrants consent to CP exhibiting such Video Submission in all media; (vi) Entrants indemnify and hold harmless CP, Viacom International Inc., CBS, and MTV Networks, from any claims, suits, losses damages and expenses (including reasonable attorneys' fees) that arise from any breach of the following conditions. All entrants agree to the foregoing and in addition agree to obtain, upon request of CP, any documentation and releases necessary to prove (a) their unrestricted ownership in all materials contained in their Submissions and (b) CP's right to use such materials without limitation for any purpose. They further agree, if chosen as Grand Prize Winner, to assign irrevocably all right, title and interest in all materials contained in the winning Video Submission and agree to sign such documentation as is necessary to formalize this assignment.

    (b) Notwithstanding the foregoing, entrants agree (i) that their Video Submissions may be used by CP in whole or in part for any purpose whatsoever without any compensation and (ii) to hereby grant to CP the non-exclusive, irrevocable right and license to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, broadcast, rebroadcast, transmit, record, publicly perform, create derivative works of, and distribute and synchronize in timed relation to visual elements, the materials contained in their Video Submissions and/or any portions or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised, throughout the universe, in perpetuity.

  11. All interpretations of the rules and decisions by CP are final. CP reserves the right, in its sole discretion, to disqualify any individual it finds or believes to be tampering with the entry process or the operation of the game; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, CP AND SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT/INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. ENTRANTS WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

  12. For the name of the Grand Prize Winner send a self- addressed stamped envelope to:
